RE: AEC Inc. Acquisition Update

From my previous update dated 8/29/18, I am now pleased to report that AEC (Atlantic Energy Concepts Inc.) is fully back to doing what we do best; Energy Efficient Lighting Design and Installation. We are now financially secure with bonding capabilities that will satisfy any project that AEC decides to pursue or agrees to partner or participate in. We are actively expanding our reach into other regions and are looking for experienced individuals with expertise in lighting design and project management skills that we can add to our existing staff to support the ever-increasing demands of our clients and advancements in lighting technology.

To those who are curious or concerned how SYD’s (Schaedler Yesco Distribution) acquisition of AEC’s assets changed how we do business, I can tell you that SYD has allowed AEC complete autonomy to make day to day business decisions that are in the best interest of AEC and more importantly our clients. Additionally, SYD has agreed to not limit AEC to only procuring material through SYD but the ability to choose and specify products/equipment that provides the best ROI or performance value based on client project requirements. SYD also recognizes that AEC’s past successes were largely based on an assurance to manage each client’s project demands with a strong commitment to customer service even if it was at AEC’s own expense. The amalgamation of SYD and AEC was an easy assimilation, as both companies exhibit very similar corporate cultures that value transparency, integrity, honesty, and ethical business practices. This is why the acquisition of AEC by SYD promises to be such a success for its employees and valued customers.

RE: AEC Inc. Acquisition Finalized

In an earlier correspondence dated July 25th, 2018, I informed you of SYD’s (Schaedler Yesco Distributions) interest in acquiring Mid-Atlantic Energy Concepts, Inc. dba Atlantic Energy Concepts. We are pleased to announce that as of August 29th, 2018 we are now Atlantic Energy Concepts Inc. owned by Schaedler Yesco Distribution. While the change in our name is trivial having the support of Schaedler’s backing is tremendous.

SYD’s acquisition of assets will provide AEC, Inc. a solid financial working base with all the benefits that come from being owned by the largest, independent electrical distributor headquartered in Pennsylvania. Founded in 1924, SYD will give AEC the ability to leverage its strong reputation and resources and accelerate nationwide adoption of industry-leading energy solutions. SYD is the perfect partner for AEC as we continue to expand and grow our business and are grateful to become a part of such a recognized, innovative and highly ethical organization.

This acquisition has allowed AEC to retain its present headquarters location in Reading, PA and its office located in Fredericksburg, Virginia. Additionally, all of AEC’s employees have been retained so the same team you have trusted and worked with in the past remains in place and is ready to provide all of AEC’s past services. In the coming months, we anticipate adding additional resources to better serve existing clients and to expand our reach into new geographic territories. I want to express my sincere appreciation and thank all our valued clients and partners for your support over the past several months during this acquisition and for maintaining an open door and receptiveness to work with us in the future as the “New” Atlantic Energy Concepts Inc.

RE: AEC Acquisition Announcement.

I am pleased to announce today a new strategic investor that will bolster Atlantic Energy Concepts (AEC’s) ability to expand, grow, and continue delivering innovative and customized energy efficient lighting solutions for the ESCO and C&I industry we presently serve. We are excited about the opportunities to accelerate our leadership in the fast-growing, ever-changing lighting industry. Schaedler Yesco Distribution, Inc. (SYD) has signed a definitive agreement to acquire Atlantic Energy Concepts and become our new majority investor. The agreement is effective immediately but subject to satisfactory completion of customary regulatory requirements. SYD is the largest, independent electrical distributor headquartered in Pennsylvania since 1924.

SYD will give AEC the ability to leverage its strong reputation and resources and accelerate nationwide adoption of our industry-leading energy solutions. SYD is the perfect partner for AEC as we continue to expand and grow our business, and we’re elated to become a part of such a prestigious and innovative organization.

Our companies already share many customers and business partners, and we intend to enhance and expand these essential relationships. As a result of our business combination, our customers and partners will now have access to an extraordinary portfolio of products and services.

Following the close of the acquisition, AEC will operate as a standalone business unit – albeit with increased resources and capabilities from SYD – with continued enhancement of the services, products and support we provide you. AEC will continue to operate under the AEC brand without any reduction in our services, technology portfolio or support.

The AEC management team will continue to operate the business unit, and I will remain AEC’s General Manager. The same dedicated AEC employees you work with today will be here as well.

We are dedicated to maintaining and increasing the quality of innovation, support, and service that you have come to expect from our companies. Both AEC and SYD are very grateful to our partners and customers who have already chosen our companies for their lighting needs, and we greatly appreciate the partnership. As we proceed with our integration in earnest, we expect many questions. We will be adding an FAQ document to this web page in regard to the acquisition. We look forward to keeping you up-to-date on our progress.

This is an exciting time for AEC. We’ve grown from a professional services organization to one of the most respected lighting installation and engineering companies dedicated to meeting customers’ energy needs. I look forward to taking AEC to the next level, backed by the support of SYD, and our continued relationship together.
